Terms of Service

The terms on which we supply cloud infrastructure, licensing, professional and managed services in the United Arab Emirates.

Last updated 11 August 2026 · Governed by the laws of the United Arab Emirates

Agreement and parties

Cloudtechtiq IT Infrastructure LLC ("CloudTechtiq", "we", "us") is a limited liability company registered in Dubai, United Arab Emirates, with its registered office at 21-301, 3rd Floor, Business Village, Block-B, near Clock Tower Roundabout, Deira, Dubai, United Arab Emirates.

These Terms of Service govern your access to and use of our website, customer console, cloud infrastructure services, licensing supply, professional services and managed services (together, the "Services"). By placing an order, signing an order form, or accessing the Services, you accept these Terms on behalf of the entity you represent, and you confirm you are authorised to do so.

Where you have signed a separate master services agreement or order form with us, that document prevails over these Terms to the extent of any conflict. Product-specific terms — the Service Level Agreement, Acceptable Use Policy, Data Processing Agreement and Refund and Cancellation Policy — form part of this agreement.

Note: this document is provided in English. Where a translation is issued and a discrepancy arises, the English version governs unless a competent UAE court or authority requires otherwise.

Eligibility and account

The Services are offered to businesses and organisations, not to consumers for personal use. To open an account you must provide accurate registration details including a valid trade licence and, where applicable, Tax Registration Number.

You are responsible for all activity under your account, for keeping credentials confidential, for enabling multi-factor authentication on administrative users, and for promptly notifying us of any suspected unauthorised access. We are not liable for loss arising from your failure to secure credentials issued to you.

Third-party products and licences

Where we supply Microsoft, AWS, HPE, NVIDIA or other third-party products, your use of those products is additionally governed by the relevant vendor's own terms, which you accept by using them. We supply, provision and support those products but we do not control them, and we do not vary their vendor terms.

Vendor list pricing may change. Where a vendor changes pricing or terms during your subscription period, we will notify you and pass through the change at the next renewal, or earlier if the vendor's terms require it.

Fees, VAT and payment

Fees are as set out in your order form or quotation, and are stated in United Arab Emirates Dirhams (AED) exclusive of Value Added Tax. VAT is applied at the prevailing rate in accordance with Federal Decree-Law No. 8 of 2017 on Value Added Tax and its amendments — currently 5%.

  • Cloud platform consumption is invoiced monthly in arrears. Payment is due within 15 days of invoice date unless otherwise agreed in writing.
  • Licence subscriptions are invoiced in advance for the committed term.
  • Professional services are invoiced against milestones defined in the statement of work.
  • Prices published on this website are indicative list prices and do not constitute a binding offer. A binding price arises only from a written quotation issued by us.

Overdue amounts may attract interest at 1% per month or the maximum rate permitted by UAE law, whichever is lower. We may suspend Services on 7 days' written notice where an undisputed invoice remains unpaid for more than 30 days. Suspension does not relieve you of the obligation to pay.

Term, renewal and termination

Cloud platform services continue on a rolling monthly basis until cancelled. Committed-term services continue for the committed term and renew for successive equal terms unless either party gives written notice at least 30 days before the end of the then-current term.

Either party may terminate for material breach that remains uncured 30 days after written notice. We may suspend or terminate immediately where your use breaches the Acceptable Use Policy in a manner that creates a risk to the platform, to other customers or to us, or where required by law or a competent authority.

On termination you must pay all amounts accrued to the termination date. Your content remains available for retrieval for 30 days after termination, after which it is deleted. Committed-term fees are not refundable except as set out in the Refund and Cancellation Policy.

Your content and our rights

You retain all rights in the data, software and materials you place into the Services ("Your Content"). You grant us a limited licence to host, transmit, copy and display Your Content solely to the extent necessary to provide the Services and to comply with law.

We do not access Your Content except where necessary to provide or support the Services at your request, to maintain platform security and integrity, or where required by UAE law or a lawful order. Access by our personnel is logged.

You warrant that you have the rights necessary to place Your Content into the Services and that doing so does not infringe the rights of any third party or breach UAE law.

Intellectual property

All intellectual property in the Services, our platform, documentation, and the CloudTechtiq name and marks remains ours or our licensors'. Nothing in these Terms transfers any such rights to you. You may not copy, reverse engineer, resell or create derivative works from the Services except to the extent UAE law expressly permits and cannot be excluded.

Where we create deliverables specifically for you under a statement of work, ownership of those deliverables is as stated in that statement of work. In the absence of an express term, you receive a perpetual, non-exclusive licence to use the deliverables for your internal business purposes, and we retain ownership of our pre-existing materials, tools and generic know-how.

Service levels and support

Availability commitments, support response targets and the service credits payable where we fail to meet them are set out in the Service Level Agreement. Service credits are your sole and exclusive financial remedy for failure to meet an availability commitment.

Warranties and disclaimers

We warrant that we will provide the Services with reasonable skill and care, using appropriately qualified personnel, and in accordance with the Service Level Agreement.

Except as expressly stated, and to the maximum extent permitted by UAE law, the Services are provided without further warranty. We do not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services will meet requirements you have not communicated to us in writing.

You are responsible for maintaining your own backups of Your Content. Backup services we supply are provided as configured; verifying that a backup meets your recovery objectives remains your responsibility.

Limitation of liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded under UAE law.

Subject to that, neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of business opportunity, or loss or corruption of data to the extent it results from your failure to maintain backups.

Each party's total aggregate liability arising out of or in connection with this agreement in any twelve-month period is limited to the total fees paid by you to us under this agreement in that period.

Indemnity

You will indemnify us against claims, losses and reasonable costs arising from Your Content, from your use of the Services in breach of these Terms or the Acceptable Use Policy, or from your infringement of a third party's rights.

We will indemnify you against third-party claims that the Services as supplied by us infringe intellectual property rights in the UAE, provided you notify us promptly, allow us to control the defence and provide reasonable assistance. This indemnity does not apply to claims arising from Your Content, from modifications not made by us, or from combination with materials not supplied by us.

Confidentiality

Each party will keep the other's confidential information confidential, use it only for the purposes of this agreement, and protect it with at least the care it applies to its own confidential information. This obligation does not apply to information that is public through no breach, was already lawfully held, is independently developed, or must be disclosed by law or a competent authority — in which case the disclosing party will be notified where lawful to do so.

Force majeure

Neither party is liable for failure to perform caused by an event beyond its reasonable control, including natural disaster, war, civil unrest, act of government, failure of public telecommunications networks or upstream utility, or region-wide internet disruption. The affected party will notify the other promptly and use reasonable efforts to mitigate. Payment obligations are not excused by force majeure.

Compliance with law

Each party will comply with applicable UAE law, including Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, Federal Decree-Law No. 34 of 2021 on Countering Rumours and Cybercrimes, applicable telecommunications regulation, and applicable anti-money-laundering, sanctions and export control requirements. You will not use the Services in a manner that would cause either party to breach sanctions or export control law.

Changes to these Terms

We may amend these Terms. Material changes take effect 30 days after we notify you by email or through the console. If a material change is materially detrimental to you, you may terminate the affected Service without penalty by giving notice before the change takes effect, and we will refund any prepaid fees for the unused portion of the term.

Governing law and jurisdiction

This agreement is governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai. The parties submit to the exclusive jurisdiction of the courts of Dubai.

Before commencing proceedings, the parties will attempt in good faith to resolve the dispute through discussion between senior representatives for a period of 30 days. Nothing prevents either party from seeking urgent injunctive relief.
